Parties
These terms are between [Legal entity name], a company registered in Amman, Jordan ([Registered address]) ("Madana", "we"), and the business that opens an account ("you"). The person accepting these terms confirms they are authorised to bind that business.
Who may use Madana
Madana is a business-to-business platform for FMCG suppliers and independent retailers in Jordan. It is not for consumers. Every account completes a business verification (KYB) before it is activated, and we may decline or close an account that fails it.
Roles
A supplier lists offers on the catalogue, sets per-retailer prices and credit terms, and fulfils sub-orders. A retailer orders from suppliers, receives invoices and records payments. Users a business adds, such as sales reps, pickers and drivers, act on that business's behalf under their own scoped logins, and the business is responsible for their actions.
Orders and sub-orders
A retailer's cart is split into one sub-order per supplier. Each sub-order is a contract of sale between that supplier and that retailer, on the supplier's prices and terms as shown at confirmation. Madana is not a party to that sale, does not own the goods and does not deliver them. Suppliers keep their own logistics.
The final price shown on the cart, after discounts and tax, is the price on the invoice. Cancellations, short-ships, returns and disputes are handled per sub-order between the supplier and the retailer, using the tools on the platform.
Prices, credit and cheques
Suppliers set list prices, per-retailer overrides, credit terms and limits. Madana enforces them at the order: a sub-order over a limit, or with an overdue cheque, is held for the supplier's decision. Cheque records on the platform reflect what the parties enter; a cheque counts as payment only when it clears. Madana never holds, transfers or lends money between suppliers and retailers.
Fees
Retailers order, receive invoices and use the cheque calendar free of charge, always. Retailer Pro analytics is an optional monthly subscription.
Suppliers pay a monthly subscription for their tier and a commission of 1.5% on the value of completed sub-orders in the month, capped at the difference between their tier's price and the next tier's price. Cancelled and disputed sub-orders are excluded. Annual billing is offered at a discount. Invoices are visible five business days before they are charged. Current prices are on the pricing page and form part of these terms.
Subscriptions are billed through Stripe or paid by bank transfer. A lapsed subscription reduces the account to the free retailer tier or suspends supplier listing, as applicable, without deleting data.
Your data
You own the data you enter. You grant Madana the right to process it to provide the service, as described in the Privacy Policy. Each account is isolated: a supplier sees only their own figures and a retailer only their own. Anonymised, aggregated benchmarks may be shown to suppliers. You can export your data at any time.
Acceptable use
You must give accurate business information, keep your logins secure, and use the platform only for genuine trade between your business and its counterparties. You must not attempt to access another tenant's data, scrape the catalogue, or resell access.
Availability and changes
We aim to keep the platform available at all times but do not guarantee uninterrupted service. We may change features with notice to account holders when the change is material.
Liability
To the extent permitted by Jordanian law, Madana's liability to you in any year is limited to the fees you paid to Madana in that year. Madana is not liable for the goods, their quality or delivery, or for a counterparty's failure to pay, which are matters between supplier and retailer.
Termination
You can close your account at any time. We may suspend or close an account that breaches these terms, fails verification, or is inactive for an extended period, with notice where the law requires. Records we must keep by law are retained as described in the Privacy Policy.
Governing law
These terms are governed by the laws of the Hashemite Kingdom of Jordan, and the courts of Amman have jurisdiction.
Changes to these terms
When these terms change, the date at the top changes with it and material changes are announced to account holders by email before they take effect.
